Terms and Conditions

Innerspin is an online mental skills development and training course (“Innerspin Course”). These Terms of Use (“Terms”) apply to your use of the Innerspin Course and by buying this course you agree to these Terms. You also agree to any updates or changes we make to them, provided we make them in accordance with these Terms.  

  1. The Innerspin Course allows you access to video, e-learning, blog and other educational content (“Materials”) through a series of modules accessible via Podia software and the Innerspin website.
  2. When you provide your name and email address, and also make payment via our secure payment partner portal, you will be registered (“Registered User”) and entitled to one access pass to use the Innerspin Course (“Access Pass”).
  3. When you purchase the Innerspin Course for another person e.g., a friend or family member, you will be sent an email asking you to register who will be taking the course (“Designated User”) via the Innerspin Course registration process.
  4. Within 24 hours of our confirmation of your payment, Registered and Designated Users will be emailed weekly for five weeks with a notification when each course module is available.
  5. Only the Registered User or Designated User will be entitled to access the Innerspin Course, and this is not transferrable once the Innerspin Course has commenced.
  6. Upon payment, Registered Users will enter an email, full name, and password which will act as their login to the Innerspin Online Course. Sharing login details with someone and/or reuse of login details by another person will be a breach of these Terms. Without prejudice to its other rights and remedies, Innerspin reserves the right to suspend or cancel access to the Innerspin Course for unauthorised use or sharing login details.
  7. Designated Users will receive an email asking them to Complete their sign-up. Once they have entered their email, full name, and password these details will act as their login to the Innerspin Online Course. Sharing login details with someone and/or reuse of login details by another person will be a breach of these Terms. Without prejudice to its other rights and remedies, Innerspin reserves the right to suspend or cancel access to the Innerspin Course for unauthorised use or sharing login details.
  8. Registered Users and Designated Users are responsible for all of their uses of, and access to, Materials in connection with each Access Pass they buy.
  9. From time to time, we will use your name and email address to send you information about Innerspin products and services. You can opt-out of receiving these emails at any time by clicking “unsubscribe” or contacting todd@innerspin.co.nz.
  10. The intellectual property rights in all Materials provided in connection with the Innerspin Course are owned by Innerspin or our partners. Other than the right to use our Innerspin Course in accordance with these Terms, you do not obtain any interest in these intellectual property rights. 
  11. You may only use the Innerspin Course for your own personal non-commercial use, and you must not use the Innerspin Course in any way that infringes any of Innerspin’s or another third party’s intellectual property rights, including, for example, downloading, amending, or broadcasting the Materials. 
  12. Without limiting the restrictions noted above, you also agree to: 
    a. ensure all information you give us is correct and notify us of any changes to your contact details; 
    b. not charge any fee for other people to access or view the Materials; 
    c. comply with all applicable laws, regulations, standards and codes when using the Innerspin Courses.
  13. An Innerspin Course Access Pass must be paid for up front and cannot be refunded part way through the Innerspin Course due to a change of mind. 
  14. We may make changes to these Terms and/or our Innerspin Courses (or any combination thereof). Changes to our Services may include: 
    a. the addition and/or removal of Materials; 
    b. changing the technical requirements or device specification requirements needed to access the Innerspin Courses; and/or 
    c. changing, adding, or removing features and functionality of the Innerspin Courses. 
  15. If you use the Innerspin Course for the purposes of a business as defined in the Consumer Guarantees Act 1993 (Business), you acknowledge and agree that the provisions of that Act do not apply to the Innerspin Course we provide to you. If you use the Innerspin Course for a Business or any purpose other than personal or non-commercial use, you agree that: 
    a. such use is a breach of these terms of use, for which we may cancel or suspend your Access Pass; and
    b. you will indemnify us on demand against any third-party claims, liabilities, costs, and expenses that we suffer (including costs of collection and lawyers’ fees on a solicitor and own-client basis) which arise out of or in connection with such use. 
  16. You accept liability to us for breach of these Terms, to the extent that such liability is not caused by Innerspin.
  17. We accept our liability to you for breach of these Terms and, subject to clause 13 above, for our breach of the Consumer Guarantees Act 1993 and the Fair Trading Act 1986. 
  18. We each agree to take reasonable steps to avoid or minimise any loss we suffer in connection with the provision/receipt of the Innerspin Courses. 
  19. Subject to any rights you have under the Consumer Guarantees Act 1993: 
    a. We are not liable to you for any indirect or consequential loss, or for any loss of profits, revenue, goodwill, business or anticipated business or anticipated profits or savings.
    b. If we become liable to you for a breach of these Terms, the maximum amount that we will have to pay to you will be the total value of the Access Pass(es) that you have purchased. 
  20. We may immediately delete, suspend, or restrict your Access Pass(es) and/or use of the Innerspin Courses at any time if:
    a. we believe it is necessary for operational or security reasons; or 
    b. you or another person using your Access Pass (with or without your knowledge) is using the Innerspin Courses in breach of these Terms or that such use puts us at risk of infringing our arrangements and agreements with third parties. 
  21. Without limiting our other rights, we may suspend or delete your Access Pass(es) on 7 days’ notice and if we do so we will provide you a refund in an amount at least equal to what you are entitled to at law. 
  22. New Zealand law governs these Terms. New Zealand courts will have exclusive jurisdiction over any dispute arising under these Terms.
